These Terms include beta and AI-output disclaimers, limits of liability, indemnification, individual arbitration, and a class-action waiver.
1. Acceptance
These Terms govern your use of Networking Engine, a service operated by Wall Street Mastermind LLC ("WSMM," "we," "us," or "our"). By checking the acceptance box and continuing with Google, Microsoft, or pilot access, you confirm that you have read and agree to these Terms and acknowledge the Privacy Notice. If you do not agree, do not use the service.
You represent that you can form a binding contract. If you are below the age of majority where you live, you may use the service only with permission from a parent or legal guardian.
2. Beta service
Networking Engine is a beta product. Features may contain errors, change, become unavailable, or stop working. We may impose limits, suspend features, reset test data, or end the beta. The service does not guarantee contact accuracy, email deliverability, replies, interviews, offers, job placement, or any other recruiting outcome.
3. You control and review every send
The service can generate text, create mailbox drafts, and send a selected draft after you confirm the recipient. You must review each recipient, subject line, message, claim, link, and attachment before sending. You are responsible for every message sent through your account, including inaccurate, incomplete, offensive, misleading, poorly timed, duplicate, or misdirected messages.
Generated text and contact data may be wrong or outdated. Networking Engine does not provide legal, compliance, employment, or professional advice.
4. Your responsibilities
You must use the service only for lawful, professional, one-to-one recruiting outreach. You agree to:
- Use information you have a lawful right to provide and process.
- Honor opt-out, do-not-contact, and deletion requests.
- Comply with CAN-SPAM, privacy, anti-harassment, intellectual-property, and other applicable laws.
- Follow Google, Microsoft, LinkedIn, Apollo, Hunter, and other applicable platform terms.
- Keep credentials and access codes secure and report suspected unauthorized access.
You may not use the service for bulk spam, deceptive headers or subject lines, impersonation, harassment, unlawful discrimination, malware, credential theft, unauthorized scraping, or outreach that violates a recipient's rights.
5. Accounts and connected services
You authorize WSMM to access your connected Google or Microsoft account only through the permissions you approve and for the functions described in the Privacy Notice. You can revoke access through product settings or your provider account. Third-party services control their own availability, permissions, data, and account decisions. WSMM is not responsible for a third party suspending your account or changing its service.
6. Your content and data
You retain ownership of content you provide. You grant WSMM a limited license to host, process, reproduce, and transmit that content only to operate, secure, support, and improve your use of Networking Engine. You represent that you have the rights and permissions needed to provide contact information, research, writing samples, and other content.
Keep your own copies of information you need. The beta is not a backup or system of record. Data may be delayed, corrupted, deleted, lost, or disclosed through a service error, user action, security incident, or third-party failure.
7. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETWORKING ENGINE IS PROVIDED "AS IS" AND "AS AVAILABLE." WSMM DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND ERROR-FREE OPERATION.
WSMM does not warrant that drafts, contact data, email addresses, recommendations, tracking, or provider results are accurate, complete, current, lawful, safe, or suitable for your circumstances. You assume the risk of reviewing and using the service's output.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WSMM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, OPPORTUNITIES, GOODWILL, OR DATA; EMAILS SENT TO THE WRONG PERSON; INACCURATE OR HARMFUL OUTPUT; DUPLICATE OR MISSED MESSAGES; ACCOUNT SUSPENSION; UNAUTHORIZED ACCESS OR DISCLOSURE; OR THE ACTS OR OMISSIONS OF A USER OR THIRD-PARTY SERVICE.
WSMM'S TOTAL AGGREGATE LIABILITY ARISING FROM NETWORKING ENGINE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID WSMM SPECIFICALLY FOR NETWORKING ENGINE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not exclude liability that applicable law does not allow us to exclude, including liability for fraud, willful injury, or unlawful conduct where it cannot be waived.
9. Indemnification
You will defend, indemnify, and hold harmless WSMM and its affiliates, officers, employees, and contractors from claims, damages, losses, liabilities, and reasonable legal fees arising from your messages, content, contact data, violation of these Terms or law, or infringement of another person's rights. This obligation applies only to the extent permitted by law.
10. Individual arbitration and class-action waiver
PLEASE READ THIS SECTION. IT AFFECTS YOUR RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
You and WSMM agree to resolve any dispute arising from these Terms or Networking Engine through final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration will take place in San Francisco, California, or remotely if the parties agree. The arbitrator may award any individual relief available in court.
You and WSMM may bring claims only in an individual capacity, not as a plaintiff or class member in a class, consolidated, collective, or representative action. Either party may bring an eligible individual claim in small claims court.
You may opt out of this arbitration agreement within 30 days after first accepting these Terms by emailing [email protected] with your name, account email, address, phone number, and a clear statement that you opt out of Networking Engine arbitration.
11. Governing law
California law governs these Terms without regard to conflict-of-law rules. When arbitration does not apply, the state and federal courts in San Francisco County, California have exclusive jurisdiction, except where applicable law requires another forum.
12. Suspension and termination
You may stop using the service and disconnect your mailbox at any time. WSMM may suspend or terminate access to protect users, enforce these Terms, comply with law, address risk, or end the beta. Sections that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnification, and dispute terms.
13. Changes and entire agreement
We may update these Terms as the beta changes. We will post a new version and require you to accept material updates before continued use. These Terms, the Networking Engine Privacy Notice, and any applicable WSMM program agreement form the agreement governing the product. If they conflict, these product-specific Terms control only for Networking Engine.
If a provision cannot be enforced, it will be modified only as needed and the remaining provisions will continue. A waiver must be in writing. You may not assign these Terms without our consent; WSMM may assign them as part of a reorganization or business transfer.
